Rate Studio Terms of Sale
Terms of Sale and Subscription
How trying, buying, renewing, and canceling Corvata Rate Studio works. Last updated: October 19, 2026
Thanks for choosing Rate Studio. These terms explain how buying, trying, renewing, and canceling work. We've kept them short and plain on purpose. If anything is unclear, email us at RateStudio@MeetCorvata.com and a real person will answer.
These terms sit alongside our License Agreement (the "EULA"), which you accept inside Rate Studio, which covers how you can use the software. If the two ever disagree, these terms control anything about buying, trials, billing, and refunds. The EULA controls how the software may be used.
1. Who we are
Corvata ("we," "us") is a California S-corporation based in San Diego. We sell subscriptions to Rate Studio, software that runs in your web browser. These terms apply to every free trial and every purchase. By starting a trial or buying a subscription, you agree to them.
2. Plans and prices
Rate Studio comes in three levels (Solo/SMB, Small Firm, Enterprise), which set capacity like the number of cost pools. Each level has three editions (Single Calculation, What-If, Multi-Model), which set which modes you can use.
Our pricing page lists current plans and prices. The price you see at checkout is the price you pay. Prices are in US dollars.
3. Free trial
- Every level includes a 30-day free trial with every edition in that level.
- No credit card is needed to start.
- Nothing renews or charges automatically at the end of a trial. If you want to keep going, you subscribe.
- One trial per person or company, please. We may decline or end a trial if we see it being abused, like repeated sign-ups to avoid paying.
- After your trial, access stops unless you subscribe. Your saved files stay on your computer, but you need an active subscription to open them in Rate Studio.
4. Billing and renewal
- Subscriptions are annual, billed once a year in advance through our payment processor. We never see or store your full card number.
- Subscriptions renew automatically for another year at the then-current price, until you cancel.
- Renewal reminder: We'll email you about 30 days before each renewal with the date, the price, and how to cancel. We'll send a short follow-up reminder about 7 days before.
- Price changes: If the price is going up, that 30-day email will tell you the new price. It applies from your next renewal. If you don't want it, cancel before then.
- Sales tax is added where required.
- If a payment fails, we'll tell you and try again. If it still fails, we may pause your access until it's fixed.
5. Canceling
Cancel any time, online, from your account page (Subscriptions tab). It takes a few clicks, and you don't need to contact us. You can also email RateStudio@MeetCorvata.com and we'll do it for you.
- Canceling stops future renewals.
- You keep access until the end of the period you've already paid for.
- We'll email you to confirm.
We may cancel your subscription if you don't pay or you break these terms or the EULA. We'll give you notice where we reasonably can.
6. Refunds
Our policy is simple: all fees are non-refundable. That's why we offer a free trial, so you can try everything before you pay. We don't prorate or refund the unused part of a term when you cancel or downgrade.
We'll make it right in these cases:
- You were charged twice, or we made a billing error.
- A problem on our side kept you from using Rate Studio and we couldn't fix it within 10 business days.
Some people have refund rights that the law doesn't let us waive. Nothing in these terms takes those away.
7. Changing plans
- Upgrading (to a higher level or edition) starts right away. We prorate it, so you pay only the difference for the rest of your current year.
- Downgrading starts at your next renewal. We don't prorate or refund the difference. Files you built at a higher level may need trimming to fit the lower level's limits before you can edit them.
8. Your account
- One subscription covers one organization and one account. Please don't share your login or the licensed page outside your organization.
- If you use Rate Studio to serve clients, see the Advisory/Firm terms in the EULA.
- Reviewer access (read-only) and the demo are free and provided as-is.
9. Your data
Your cost data, settings, and results are saved in files on your computer or network. We don't receive them, which also means we can't recover a lost file. Please keep your own backups.
You own your data. We claim no rights to it.
10. License checks and availability
To confirm your subscription, Rate Studio checks in with our licensing service over the internet using an anonymous member ID. It never sends your cost data.
- If a check can't connect, the tool keeps working for up to one hour. After that, some features pause until it reconnects.
- We work hard to keep things running, but we can't promise the service will never go down.
- We update Rate Studio from time to time. Saved copies of the tool expire after a set date, so please use the current version.
How we handle personal information (like your name and email) is described in our Privacy Policy.
11. Not professional advice
Rate Studio is a calculation and planning tool. It isn't legal, accounting, audit, or compliance advice, and it doesn't guarantee that DCAA, a contracting officer, or anyone else will accept your rates. You're responsible for your inputs, your accounting practices, and what you submit to the government. Please have a qualified professional review your results.
12. Warranties and liability
- Rate Studio, including trials, the demo, and reviewer access, is provided "as is." To the extent the law allows, we don't make implied warranties.
- To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
- To the extent the law allows, we're not liable for indirect or consequential damages, lost profits, contract disallowances, penalties, or audit findings.
- None of this limits liability that California law doesn't allow to be limited, including for our own fraud or willful misconduct.
13. Ownership
We own Rate Studio, its design, and its documentation. While you're subscribed, you get a limited, non-exclusive, non-transferable right to use it. Please don't copy it, resell it, reverse engineer it, or bypass the license checks. If you send us feedback, we may use it without owing you anything. The EULA has the full details.
14. Suspension and ending access
We may suspend or end access for non-payment, misuse, sharing a login or the licensed page, or trying to bypass the license check. You can save or export your data at any time before access ends.
15. The fine print
- Governing law: California law applies.
- If we disagree: Please email us first at RateStudio@MeetCorvata.com. Most issues get solved with a conversation. If we can't work it out within 30 days, we'll both try mediation (a neutral third party helps us find a fair answer) before going further. If that doesn't work, either of us may bring the dispute in the state or federal courts in San Diego County, California. Either of us may also use small claims court.
- Whole agreement: These terms plus the EULA are our entire agreement.
- Changes: We may update these terms. Changes apply to new purchases and renewals after the "last updated" date. For material changes, we'll email you.
- If part is unenforceable, the rest still applies.
